These Terms of Service ("Terms") constitute a legally binding and enforceable contract between the user ("User," "You") and prismtechsystems.in ("Company"). The Company reserves the unilateral right to amend, alter, or otherwise modify these Terms at its sole discretion, at any time, without prior exhaustive notice. Your continued utilization of the platform following any such modification constitutes your absolute and irrevocable acceptance of the modified Terms.
All digital assets, source code, proprietary algorithms, branding elements, trademarks, and textual content comprising the platform (the "Intellectual Property") are the exclusive, undivided property of the Company, protected to the maximal extent permissible under international copyright, patent, and trademark jurisprudence. The User is granted a limited, non-exclusive, non-transferable, and revocable license strictly for personal, non-commercial use. Any unauthorized reproduction, reverse-engineering, scraping, or derivative exploitation of the Intellectual Property is strictly prohibited and shall result in immediate termination of access and aggressive legal remediation.
THE PLATFORM, ITS CONTENT, AND ALL ASSOCIATED SERVICES ARE PROVIDED ON A STRICTLY "AS IS," "WHERE IS," AND "AS AVAILABLE" BASIS. THE COMPANY EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND UNINTERRUPTED OR ERROR-FREE OPERATION.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE COMPANY, ITS DIRECTORS, OFFICERS, EMPLOYEES, OR AGENTS BE HELD LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, OR USE, INCURRED BY THE USER OR ANY THIRD PARTY, WHETHER IN AN ACTION IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, EVEN IF THE COMPANY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
The User agrees to comprehensively indemnify, defend, and hold harmless the Company against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising directly or indirectly from (a) the User's breach of these Terms, (b) the User's infringement of any third-party intellectual property or privacy rights, or (c) any willful misconduct or gross negligence exhibited by the User.
Any claims must be brought in the User's individual capacity, and not as a plaintiff or class member in any purported class, collective, or representative proceeding. These Terms shall be governed by and construed in accordance with the laws of India, explicitly excluding its conflict of law principles. Exclusive jurisdiction and venue for any actionable dispute shall reside in the competent courts of Kolkata, West Bengal.
